Terms of Service Agreement for ImagineRE dba Imagine Loan Funding Loan Origination Website

Introduction

This Terms of Service (“Agreement”) governs your access to and use of the ImagineRE dba Imagine Loan Funding loan origination website (“Site”), including all content, features, and services offered through the Site. By accessing or using the Site, you (“User,” “you,” or “your”) agree to be bound by these terms and conditions. If you do not agree to these terms, you must not access or use the Site. This Agreement applies to all users of the Site, including applicants, co-applicants, and any other individuals accessing the Site on behalf of themselves or another entity. If you are using the Site on behalf of an organization or entity, you represent and warrant that you have the authority to bind such entity to these terms.

Your use of the Site is also subject to our Privacy Policy, which governs our data collection and usage practices. Continued use of the Site constitutes your ongoing acceptance of these terms and any modifications thereto. If you do not agree to these terms, you must discontinue use of the Site immediately.

  1. Eligibility and User Qualifications

The Site is intended solely for use by individuals who are at least 18 years of age and who have the legal capacity to enter into binding contracts under applicable law. By using the Site, you represent and warrant that you meet these eligibility requirements. If you are applying for a mortgage loan, you further represent that all information provided is accurate, complete, and current, and that you are applying for yourself or with the express authorization of any co-applicants.

Certain features of the Site may require you to meet additional eligibility criteria, such as residency in a particular state or compliance with specific licensing requirements. ImagineRE dba Imagine Loan Funding reserves the right to verify your eligibility at any time and to deny access to the Site or its services if you are found to be ineligible or in violation of these terms.

  1. No Commitment to Lend / Prequalification vs. Preapproval

Submission of information through the Site, including completion of a loan application or inquiry form, does not constitute an offer, commitment, or guarantee to lend. Any prequalification or preapproval provided by ImagineRE dba Imagine Loan Funding is conditional and subject to further verification, underwriting, and satisfaction of all applicable requirements. Prequalification is an initial assessment based on information you provide and does not guarantee loan approval or specific terms. Preapproval, if offered, is also subject to final underwriting and may be withdrawn or modified at any time.

ImagineRE dba Imagine Loan Funding reserves the right to decline any application, modify loan terms, or require additional documentation at its sole discretion. No loan will be funded until all required documents are received, reviewed, and approved, and a final loan agreement is executed by all parties.

  1. User Responsibilities and Conduct

You agree to use the Site only for lawful purposes and in accordance with this Agreement. You are responsible for ensuring that all information you provide is truthful, accurate, and complete. You agree not to:

  • Provide false, misleading, or incomplete information in any application or communication.
  • Use the Site for any fraudulent, unlawful, or unauthorized purpose.
  • Attempt to gain unauthorized access to any portion of the Site, accounts, or systems.
  • Interfere with or disrupt the operation of the Site or any related networks.
  • Transmit any viruses, malware, or other harmful code.
  • Use automated tools, bots, or scripts to access or interact with the Site without express written permission.

You are responsible for maintaining the confidentiality of any account credentials, passwords, or security information associated with your use of the Site. You agree to notify ImagineRE dba Imagine Loan Funding immediately of any unauthorized access or use of your account or any other breach of security. Failure to comply with these responsibilities may result in suspension or termination of your access to the Site.

You agree to promptly notify ImagineRE dba Imagine Loan Funding of any unauthorized use of your account or any other breach of security. ImagineRE dba Imagine Loan Funding is not liable for any loss or damage arising from your failure to comply with these obligations.

  1. Data Usage, Collection, and Privacy-Related Terms

By using the Site, you consent to the collection, use, storage, and disclosure of your personal information as described in our Privacy Policy and as permitted or required by applicable law. ImagineRE dba Imagine Loan Funding collects information necessary to process your loan application, verify your identity, assess creditworthiness, and comply with legal and regulatory requirements. You are responsible for maintaining the necessary hardware, software, and internet connectivity to access and retain electronic communications. You may request paper copies of electronic communications at no additional cost.

  1. Electronic Consent for Credit Checks and Third-Party Data

By submitting a loan application or inquiry through the Site, you expressly authorize ImagineRE dba Imagine Loan Funding and its agents to obtain your credit report and other relevant information from credit bureaus and third-party data providers as necessary to evaluate your application. This authorization includes both hard and soft credit inquiries, as applicable, and may extend to co-applicants or guarantors.

You acknowledge that each applicant must provide separate, documented consent for credit checks, and that such consent must be retained by ImagineRE dba Imagine Loan Funding for a minimum of five years in accordance with regulatory requirements. Consent may be provided via electronic signature, audio recording, or other auditable means as permitted by law. You may revoke your authorization at any time prior to the completion of your application, but doing so may result in the suspension or termination of your application process.

  1. Data Security Measures and Data Breach Notification

ImagineRE dba Imagine Loan Funding employs industry-standard security measures to protect your personal and financial information from unauthorized access, disclosure, alteration, or destruction. These measures include encryption, secure socket layer (SSL) technology, access controls, and regular security assessments. Records are maintained for a minimum period as required by law (typically not less than five years for consumer consent and other critical records), and may be retained longer as necessary to comply with investor or regulatory requirements. You may request access to your application records by contacting ImagineRE dba Imagine Loan Funding, subject to verification of your identity and applicable legal limitations.

  1. Electronic Signatures and Document Execution

You agree that your electronic signature, whether provided by clicking a checkbox, typing your name, or using an approved e-signature platform, has the same legal effect as a handwritten signature for all purposes under this Agreement and any related documents. Electronic signatures are valid and enforceable under the ESIGN Act and the Uniform Electronic Transactions Act (UETA), as adopted in applicable states.

ImagineRE dba Imagine Loan Funding may require certain documents to be executed electronically and may use third-party e-signature providers to facilitate secure document execution. You are responsible for ensuring that your electronic signature is applied only by you and not by any other person. ImagineRE dba Imagine Loan Funding reserves the right to require additional authentication or verification as necessary to ensure the integrity of electronic signatures and documents.

  1. Fees, Charges, and Third-Party Costs Disclosure

ImagineRE dba Imagine Loan Funding will disclose all fees, charges, and third-party costs associated with your loan application and origination process as required by the Truth in Lending Act (TILA), the Real Estate Settlement Procedures Act (RESPA), and the TILA-RESPA Integrated Disclosure (TRID) Rule. This includes, but is not limited to, origination fees, appraisal fees, credit report fees, title insurance, and closing costs.

You will receive a Loan Estimate and Closing Disclosure outlining all material terms, costs, and fees prior to consummation of your loan, as required by law. You are responsible for reviewing these disclosures carefully and notifying ImagineRE dba Imagine Loan Funding of any discrepancies or questions prior to closing. Payment of fees does not guarantee loan approval or funding, and certain fees may be non-refundable as disclosed in your application materials.

  1. Representations and Warranties by Users

By using the Site and submitting a loan application, you represent and warrant that:

  • All information provided is true, accurate, and complete to the best of your knowledge.
  • You have the legal capacity and authority to enter into this Agreement and to apply for a mortgage loan.
  • You are not subject to any legal or contractual restrictions that would prevent you from applying for or obtaining a mortgage loan.
  • You will promptly notify ImagineRE dba Imagine Loan Funding of any changes to your information or circumstances that may affect your application.

You acknowledge that providing false or misleading information may result in denial of your application, termination of your account, and potential legal liability.

  1. Permitted Use and License Grant

Subject to your compliance with this Agreement, ImagineRE dba Imagine Loan Funding grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content solely for the purpose of evaluating, applying for, or managing a mortgage loan with ImagineRE dba Imagine Loan Funding. You may not:

  • Copy, reproduce, distribute, modify, or create derivative works of any content on the Site without express written permission.
  • Use the Site or its content for any commercial, competitive, or non-consumer purpose.
  • Scrape, crawl, or index the Site using automated tools or bots.
  • Reverse engineer, decompile, or attempt to extract source code from any software or systems associated with the Site.

Any unauthorized use of the Site or its content may result in termination of your access and potential legal action.

  1. Intellectual Property and Ownership of Content

All content, features, and functionality on the Site—including text, graphics, logos, images, software, and documentation—are the exclusive property of ImagineRE dba Imagine Loan Funding or its licensors and are protected by U.S. and international copyright, trademark, and intellectual property laws. Nothing in this Agreement grants you any right, title, or interest in or to the Site or its content, except as expressly provided herein.

You may not use, display, or reference ImagineRE dba Imagine Loan Funding’s trademarks, service marks, or logos without prior written consent. Any feedback, suggestions, or submissions you provide to ImagineRE dba Imagine Loan Funding become the property of ImagineRE dba Imagine Loan Funding and may be used for any lawful purpose without compensation to you.

  1. Prohibited Uses

You agree not to use the Site:

  • In violation of any applicable federal, state, or local law or regulation.

ImagineRE dba Imagine Loan Funding does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. ImagineRE dba Imagine Loan Funding does not guarantee the accuracy, completeness, or reliability of any information provided through the Site. Your use of the Site is at your own risk, and you are solely responsible for implementing appropriate safeguards to protect your devices and data.

  1. Limitation of Liability and Exclusions

TO THE FULLEST EXTENT PERMITTED BY LAW, ImagineRE dba Imagine Loan Funding, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY SERVICES OR CONTENT PROVIDED THEREIN. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ImagineRE dba Imagine Loan Funding HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ImagineRE dba Imagine Loan Funding’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SITE EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

  1. Indemnification and Borrower/Lender Protections

You agree to indemnify, defend, and hold harmless ImagineRE dba Imagine Loan Funding, its affiliates, officers, directors, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your violation of this Agreement or any applicable law or regulation.
  • Your use of the Site or any services or content provided therein.
  • Any misrepresentation, fraud, or negligence by you in connection with your application or use of the Site.

This indemnification obligation survives the termination of this Agreement and your use of the Site. ImagineRE dba Imagine Loan Funding reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with ImagineRE dba Imagine Loan Funding in asserting any available defenses.

  1. Compliance with Federal and State Mortgage Laws

ImagineRE dba Imagine Loan Funding is committed to compliance with all applicable federal and state laws and regulations governing mortgage origination, consumer protection, fair lending, and data privacy. This includes, but is not limited to:

  • Truth in Lending Act (TILA) and Regulation Z
  • Real Estate Settlement Procedures Act (RESPA) and Regulation X
  • Equal Credit Opportunity Act (ECOA) and Regulation B
  • Fair Housing Act
  • Secure and Fair Enforcement for Mortgage Licensing Act (SAFE Act)
  • Gramm-Leach-Bliley Act (GLBA) and Safeguards Rule
  • State-specific licensing and disclosure requirements

ImagineRE dba Imagine Loan Funding maintains policies and procedures to ensure ongoing compliance and regularly reviews and updates its practices in response to changes in law or regulation.

  1. Accessibility, Non-Discrimination, and Fair Lending

ImagineRE dba Imagine Loan Funding is committed to providing equal access to its services and to complying with all applicable fair lending and anti-discrimination laws. ImagineRE dba Imagine Loan Funding does not discriminate on the basis of race, color, religion, national origin, sex, marital status, age, disability, sexual orientation, gender identity, or any other characteristic protected by law in any aspect of the loan origination process.

Please note that opting out of marketing communications does not affect your ability to receive transactional or legally required communications related to your loan application or account. You may also opt out of prescreened or preapproved credit offers by visiting OptOutPrescreen.com or calling the designated toll-free number, as permitted by federal law.

  1. SMS / Texting Loan Processing Communications

By applying  for a loan and clicking on the “Submit” button through the www.ilf.myarive.com website, you will verify you email address and cell phone number. You will give consent to ImagineRE dba Imagine Loan Funding and its agents to send to you and for you to receive email messages and SMS/text messages via automated technology.

  • By applying for a loan with Imagine Loan Funding you agree to the use of SMS messaging from our Loan Origination System (LOS) Portal, ilf.myarive.com. These messages will be delivered while we are working on your loan application. They will be messages regarding the loan process, reminders, documentation needed, status updates and other similar messaging. You can choose to opt-out of messaging.
  • You can cancel the SMS service at any time. Just send a reply text “STOP” to the number. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.
  • If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at dj@imagineloanfunding.com or 909-522-6322.
  • Carriers are not liable for delayed or undelivered messages.
  • As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive many messages throughout the loan process. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

26. Termination, Suspension, and Account Closure

ImagineRE dba Imagine Loan Funding reserves the right to suspend, terminate, or restrict your access to the Site or your account at any time, with or without notice, for any reason, including but not limited to violation of this Agreement, suspected fraud, or security concerns. Upon termination, your right to use the Site and any licenses granted herein will immediately cease.

You may close your account at any time by contacting ImagineRE dba Imagine Loan Funding. Termination or closure of your account does not relieve you of any obligations incurred prior to termination, including payment of fees or indemnification obligations. ImagineRE dba Imagine Loan Funding will retain records as required by law and may continue to use your information as necessary to comply with legal, regulatory, or contractual obligations.

27. Governing Law, Jurisdiction, and Dispute Resolution

This Agreement and any disputes arising out of or relating to your use of the Site shall be governed by and construed in accordance with the laws of the state in which ImagineRE dba Imagine Loan Funding is headquartered, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to this Agreement or the Site shall be brought exclusively in the state or federal courts located in [Headquarters State/County], and you consent to the personal jurisdiction and venue of such courts.

ImagineRE dba Imagine Loan Funding may, at its sole discretion, require that any dispute be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with the location of arbitration to be [Headquarters City/State]. The prevailing party in any dispute shall be entitled to recover reasonable attorneys’ fees and costs to the extent permitted by law. Nothing in this section limits ImagineRE dba Imagine Loan Funding’s right to seek injunctive or equitable relief in any court of competent jurisdiction.

28. Changes to Terms and Notice Procedures

ImagineRE dba Imagine Loan Funding reserves the right to modify, amend, or update this Agreement at any time in its sole discretion. Material changes will be communicated to users through conspicuous notice on the Site, email notification, or other appropriate means, and will become effective upon posting or as otherwise specified in the notice. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the revised terms.

For material changes that negatively impact user rights, involve new fees, or affect data collection practices, ImagineRE dba Imagine Loan Funding may require renewed consent or affirmative acceptance before continued use of the Site. It is your responsibility to review this Agreement periodically for updates. If you do not agree to the revised terms, you must discontinue use of the Site immediately.

29. Severability and Waiver

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and any failure by ImagineRE dba Imagine Loan Funding to assert a right or provision shall not constitute a waiver of such right or provision.

30. Entire Agreement

This Agreement, together with any referenced policies, disclosures, and notices, constitutes the entire agreement between you and ImagineRE dba Imagine Loan Funding regarding your use of the Site and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.
